EXPLANATORY NOTE

In June of 2009, RMR Asia Real Estate Fund (“RAF”) merged with and into RMR Asia Pacific Real Estate Fund (“RAP”), and holders of RAF common shares were issued RAP common shares.  Following the merger, Roumell Asset Management, LLC (“RAM”) held 177,341 common shares of RAP, representing approximately 5.3% of the outstanding common shares (based on 3,342,963 common shares outstanding as of June 30, 2009).
